Terms of Service

These Terms of Service ("Terms") govern your use of Residely ("Residely," "we," "us"), an AI platform for residential communities, available at residely.ai and app.residely.ai. Residely is a product of M29 Media LLC, a limited liability company doing business as NFM Labs (the "Company"). By creating an account or using the service, you agree to these Terms.

Company

The Residely platform is owned and operated by M29 Media LLC, doing business as NFM Labs. "M29 Media LLC" is our legal business name and "NFM Labs" is our registered trade name (DBA). References to "Residely," "we," or "us" in these Terms mean M29 Media LLC.

The service

Residely provides an AI website chatbot, an AI voice assistant that answers your community's phone, review management, social scheduling, resident and prospect records, work-order intake, outbound messaging, and integrations with third-party systems. Which features are available to you depends on your subscription.

These Terms apply to whichever features you enable, including any released as beta or early access. Beta features are provided as-is, may change or be withdrawn, and should not be relied on for anything you cannot afford to have break.

Accounts

You are responsible for your account credentials and for activity under your account. You must provide accurate information and keep it current. You may not access another customer's data or attempt to circumvent the platform's access controls. You are responsible for the people you invite into your account and for the scope of access you grant them.

Your data, and our role

You retain ownership of your community data, including resident and prospect records. We do not claim it and we do not sell it.

For personal information about residents and prospects, you are the controller and we act as your processor. We handle that information only to provide the service, only on your documented instructions, and only through the sub-processors listed in our Privacy Policy. We keep it confidential, apply the safeguards described on our Security & Compliance page, require equivalent commitments from sub-processors, will assist you with resident rights requests and with any breach notification you must make, and will delete or return the data when your account ends.

You grant us the limited licence needed to operate the service for you, and to use aggregated, de-identified data — which cannot identify you, your communities or any individual — to improve the product. If your organisation requires a separate data processing agreement, contact us and we will execute one.

Your compliance obligations

Residely puts an assistant in front of the public on your behalf. Most of the legal risk in that sits with how you use it, so these obligations are yours and we cannot discharge them for you.

Call recording. Calls are recorded and transcribed. Some states require every party to a call to consent. You are responsible for enabling an accurate recording notice for each community and for confirming it satisfies the law where that community operates.

Consent to contact. You may only load contacts into Residely, or direct it to call, text or email them, where you have the consent the law requires — including under the Telephone Consumer Protection Act and applicable state analogues — and where doing so does not breach the Do-Not-Call rules. You represent that every number and address you upload meets this standard, and you will keep records evidencing it.

Messaging registration. Text messaging runs on carrier-registered A2P campaigns. Message content must match the registered use case. Traffic that draws carrier complaints or violates messaging rules puts the registration at risk for every customer on it, and we may suspend your messaging immediately to protect it.

Fair housing and advertising. You are responsible for the content your communities publish and for ensuring your listings, prompts and campaigns comply with fair-housing and advertising law.

Accuracy of what you tell the assistant. The assistant answers from the community information you provide. If that information is wrong, the assistant will confidently repeat it.

Acceptable use

You agree not to use Residely to send unlawful, deceptive, harassing or abusive content; to impersonate a person; to violate the terms of connected services; to infringe others' rights; to probe or interfere with the platform's security; or to resell the service without our agreement.

AI output

The assistants are automated and can be wrong. They may misunderstand a caller, mishear a number, or state something inaccurate. Output is a starting point for your team, not a substitute for their judgement, and it is not legal, financial or professional advice.

The assistant does not decide anything with legal effect about a person — it does not approve or decline applications, set pricing, or determine eligibility, and you should not configure it to. You are responsible for reviewing what the assistant produces before you rely on it.

Third-party integrations

When you connect a third-party account, your use of that service is also governed by that provider's terms. You authorise Residely to access and act on that service on your behalf to provide the features you enable. We are not responsible for a third party's availability, accuracy, or changes to its own terms.

Subscriptions & billing

Paid plans are billed in advance on a recurring basis. Paddle acts as merchant of record and processes payment; card details are entered with them and never reach our systems.

Pricing is a flat platform fee per community plus a per-lot rate, based on the lot count you provide; the full amount is shown before you subscribe. If your lot count changes, your subscription is adjusted and prorated. Fees are exclusive of taxes, which are added where applicable.

You may cancel at any time, which stops future renewals. Fees already paid are not refundable except where required by law, where expressly agreed, or as set out in our Refund & Cancellation Policy. If payment fails, we may suspend the service after notifying you.

We may change pricing on at least 30 days' notice before your next renewal. Continuing after that takes effect is acceptance; if you would rather not, cancel before renewal.

Intellectual property

Residely, its software, and its underlying models, prompts and configuration are owned by us. You retain ownership of your community data and content. Nothing here transfers ownership either way.

Service levels and support

We aim to keep the service available and to fix problems promptly, but we do not commit to a guaranteed uptime figure unless we have agreed one with you in writing. The service depends on third-party telephony, model and infrastructure providers, and an outage at one of them can affect Residely.

Disclaimers & liability

The service is provided "as is." To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months before the claim.

Indemnity

You will defend and indemnify us against third-party claims arising from your use of the service in breach of these Terms — in particular claims arising from contacting people without the required consent, from recording calls without required disclosure, or from content your communities publish.

Suspension & termination

You may stop using the service at any time. We may suspend or terminate access for breach of these Terms, for non-payment, or where continued use presents a legal or security risk to us or to other customers. Where practical we will tell you first; where the risk is immediate we may act first and tell you promptly after.

On termination your right to use the service ends. You may request export or deletion of your data; see the retention section of our Privacy Policy.

Changes to these Terms

We may update these Terms as the product changes. We will move the date above, and for material changes we will notify account holders by email before they take effect. Continuing to use the service after that is acceptance.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and the courts located there have exclusive jurisdiction over any dispute. If any provision is found unenforceable, the rest remains in effect.
